These Terms of Service (“Terms”) govern your access to and use of ResioX — The Research Exchange (the “Platform”), operated by ResioX Technologies Private Limited (“ResioX,” “we,” “us,” or “our”). Please read them carefully before using the Platform.
By creating an account, checking the “I agree to the Terms of Service” box at registration, or otherwise accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Platform. Your acceptance, along with the IP address and timestamp of the moment you accepted, is recorded against your account for legal enforceability.
We may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
ResioX is a marketplace and collaboration platform that connects verified independent researchers with corporates, communities, and other researchers, for the purposes of:
posting and applying to research projects (Direct, ResioX Managed, and Collaborate modes); posting and applying to training engagements, including guest-submitted training requirements; requesting and delivering expert peer reviews through the Reviewer Board; publishing and discussing research outputs; and participating in ResioX Commons, a moderated discussion forum for the research community.
ResioX is a facilitator of these connections and, where applicable, a mediating party to certain contracts (such as Non-Disclosure Agreements). ResioX is not a party to the underlying research engagement between a researcher and a corporate or community, except where these Terms or a specific contract on the Platform expressly say otherwise.
All users must provide accurate registration information, keep their account credentials confidential, and not misrepresent their identity, qualifications, or affiliation. You are responsible for all activity that occurs under your account.
Researchers must accurately represent their qualifications, institutional affiliation, and domain expertise during verification and on their public profile; complete engaged work (projects, training deliveries, or reviews) in good faith and within the agreed timelines; and maintain the confidentiality of any information covered by a signed NDA.
Corporates must accurately represent their organisation and the scope of work when posting a project or training requirement; pay agreed fees, deposits, and milestone amounts in accordance with Section 4; and not use the Platform to solicit work that circumvents ResioX’s commission structure once a researcher has been engaged through the Platform.
All users agree not to use the Platform to post unlawful, infringing, or fraudulent content; to harass or discriminate against other users; or to attempt to circumvent the Platform’s security, verification, or payment mechanisms.
Commission. ResioX retains a commission of 15% on project payments, training engagement payments, and Reviewer Board review fees released through the Platform, unless a different rate is expressly communicated to you in writing. The researcher or trainer receives the remaining net amount. ResioX’s commission rate is configurable and may be adjusted by ResioX from time to time; any change will apply prospectively to new engagements, not to fees already agreed.
Deposits. For Direct-mode projects, a deposit of 40% of the agreed contract value is payable upfront once the milestone plan is confirmed by both parties, before work begins. For ResioX Managed projects, the deposit is 50%. Deposits are collected via manual bank transfer, confirmed by ResioX admin, and held until milestones are approved and released.
Milestone payments. Project fees are released milestone-by-milestone as each deliverable is submitted and approved by the corporate. If a milestone submission receives no response within 7 days, it is automatically approved and the payment released.
Other fees. Certain Platform features carry a separate fixed fee independent of project commission — for example, the Reviewer Board annual membership fee, the Collaborate project conversion fee, and paid job listings. Current fee amounts are shown on the Platform at the point of purchase.
Payment processing. Card, UPI, and net-banking payments are processed by Razorpay, a third-party payment gateway. High-value payments (project deposits, training fees) may instead be processed via manual bank transfer, confirmed by ResioX admin. GST invoices are issued for all payments where applicable.
Refunds. Refunds are handled on a case-by-case basis at ResioX’s discretion, including where a dispute is raised and resolved in the payer’s favour. Reviewer Board membership fees and other annual fees are non-refundable once paid, except where required by law.
Ownership of intellectual property created during a project (research outputs, data, code, or other deliverables) is governed by the “IP ownership” setting selected by the corporate when posting the project — client-owned, shared, or researcher-owned — and by any NDA or other contract signed for that specific project. Where no such setting or contract exists, IP ownership defaults to the party that would own it under applicable Indian law absent an agreement to the contrary.
You retain ownership of your own profile content (biography, publication list, uploaded CV, etc.). By posting a Research Output, Commons thread, or public profile content, you grant ResioX a non-exclusive, royalty-free licence to display that content on the Platform for the purpose of operating the service.
The ResioX name, logo, and the Platform’s own software, design, and branding are the property of ResioX Technologies Private Limited and may not be copied, reproduced, or used without our prior written consent.
The Platform is provided on an “as is” and “as available” basis. ResioX does not guarantee the accuracy of any researcher’s claimed qualifications, the quality or timeliness of any deliverable, or the outcome of any project, training engagement, or review conducted through the Platform — ResioX verifies documentation submitted to it in good faith but cannot independently confirm every credential.
To the maximum extent permitted by applicable law, ResioX shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Platform, or any dispute between a researcher and a corporate, community, or other user. ResioX’s total aggregate liability to you for any claim arising out of your use of the Platform shall not exceed the total commission actually retained by ResioX on the engagement giving rise to the claim in the 12 months preceding the claim.
Nothing in these Terms limits any liability that cannot be limited or excluded under applicable Indian law.
These Terms are governed by and construed in accordance with the laws of India. Subject to the dispute resolution process operated by ResioX for project- and review-related disputes on the Platform, the courts at Indore, Madhya Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform.
